End User License Agreement
This End User License Agreement ("Agreement") is between you and AC Tomkins & Company LLC ("AC Tomkins," "we," "us," or "our") and governs your use of the Harbor Automation software and tools (the "Software"). Harbor Automation is a brand of AC Tomkins & Company LLC. By using the Software, you agree to this Agreement.
1. License grant
Subject to this Agreement, AC Tomkins grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes.
2. Restrictions
You may not:
- copy, modify, distribute, sell, or lease any part of the Software;
- reverse engineer or attempt to extract the source code of the Software, except to the extent permitted by law;
- use the Software to build a competing product, or remove any proprietary notices; or
- use the Software unlawfully or in violation of this Agreement.
3. Ownership
The Software is licensed, not sold. AC Tomkins and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You retain ownership of the data you provide to or connect with the Software.
4. Third-party services
The Software may interoperate with third-party services (for example QuickBooks Online) that you choose to connect. Your use of those services is subject to their own terms, and you may revoke any connection at any time.
5. Disclaimer of warranties
The Software is provided "as is," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of liability
To the maximum extent permitted by law, AC Tomkins will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Software.
7. Termination
This Agreement remains in effect until terminated. It terminates automatically if you breach it, and we may suspend or terminate your license to protect the Software or its users. On termination, you must stop using the Software.
8. Governing law
This Agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
